26 and 27 June 2025 General Assembly (Bylaws)
The fifth General Assembly of the ITD Alliance included two identical online meetings on 26 and 27 June 2025 (depending on time zone). This General Assembly discussed and then voted on changes or clarifications to the bylaws. It also considered changes or clarifications to procedures associated with the bylaws.
The General Assembly consists of three components:
- Agenda and papers – sent to members at least two weeks in advance
- Meetings online for discussion – two hour meetings, two meetings times for each General Assembly.
- Voting online – voting concluded on 13 July 2025.

There will be another General Assembly on 9 and 10 October 2025 covering financial and other reporting, as well as elections to the Leadership Board.

Voting Results
The voting period was from 27 June – 13 July 2025. 37 eligible forms were received through the online voting form. All six motions were carried with the required majority of support votes (ie more than 75%). The revised bylaws are now available from the Governance section of the About page.

Votes for each proposed bylaw change or clarification
B1. Lifetime membership: Change to Clause 4. Membership (Mitgliedschaft)

NO CHANGE: Institutions and individuals can become members of the ITD Alliance. Persons or institutions are eligible to be members of the ITD Alliance if they promote its goals. Membership requires payment of a membership fee that can be reduced by the Leadership Board under certain circumstances.
NEW TEXT: Institutions and individuals that have made exceptional contributions to the advancement of the ITD Alliance may be recognised with “Lifetime membership.” This requires a case to be put to the General Assembly and a majority vote at the General Assembly. Lifetime members are recognised on the membership page of the website and receive a fee waiver for life.

NEW TEXT IN ITALICS: The Leadership Board consists of 9-15 board members, including an ex-officio member, who is a representative of the Swiss Academies of Arts and Sciences. Apart from the ex-officio member, the [m]embers of the Leadership Board are elected by the general assembly for a period of 2 years. They can be re-elected for a maximum of 3 continuous terms. After reaching the maximum number of terms, re-election is possible after a break of 1 term.
NEW TEXT: The appointment of the ex-officio member is negotiated between the leadership of the Swiss Academies of Arts and Sciences and the Leadership Board of the ITD Alliance; the ex-officio member has full voting rights and is eligible to hold any position other than President or Executive Secretary; the appointment is for two years, is renewable and the necessity for the appointment is also reviewed every two years.

The following general principles apply for the composition of the leadership board:
– In line with advancing the goal of global reach of the ITD Alliance and the aim of maximising diversity and inclusion on the Leadership Board, seven positions on the Leadership Board are reserved for members from the Global South; if these positions are not filled, they will remain vacant until the next General Assembly;
– The host institution(s) of the secretariat has(have) the right to delegate one board member.
– The board aims to maximize diversity and inclusion in composition, defined in our diversity statement.

NEW TEXT IN ITALICS: The assembly will decide by majority vote. In order to approve or change the bylaws or to terminate the ITD Alliance, a qualified majority of 2/3 of the members present at the general assembly is needed. Only individual members of the ITD Alliance can vote; this includes the individuals nominated as “persons to receive benefits” by institutional members. Each individual has one vote. A minimum of 1/5 of the total number of members have the right to request an extraordinary meeting of the general assembly.

NEW TEXT IN ITALICS; DELETIONS STRUCK THROUGH: The assembly will decide by majority vote, except when motions concern approval or change to the bylaws or terminating the ITD Alliance, in which case support from 2/3 of those voting is required.. In order to approve or change the bylaws or to terminate the ITD Alliance, a qualified majority of 2/3 of the members present at the general assembly is needed. A minimum of 1/5 of the total number of members have the right to request an extraordinary meeting of the general assembly.

On B1. Lifetime membership (2 comments)
- Lifetime membership awards are good incentive
- Maybe we can think of some financial contributions. For example: AGU’s [American Geophysical Union] Lifetime For those who wish to make a one-time payment of regular membership dues. $750-$1,500/one-time fee (prorated by age)
On B2. Ex-officio member (1 comment)
- Africa should be adequately represented
On B3. Composition of the Leadership Board (2 comments)
- As an institutional member, we feel this change in its suggested form works too much against the interests of institutional members, and therefore we cannot support it as it is. However, we do understand the need to and support the aim for increasing diversity. If this motion is not approved as is, we would be happy to move forward with a revised version where the Clause 6b would reserve a smaller quota for members from the Global South (e.g. 1/3 of the positions) and a similar quota would be reserved for institutional members. With the rest of the positions filled freely according to expressed interests, we feel this would ensure a balanced composition of the Leadership board.
- Its wonderful to dedicate reserved members to global south.

Notes on who voted
- 39 voting forms were received, one was a duplicate and one was from a non-member and these were not counted.
- One institutional member had two people who cast votes; the votes were identical and both were counted.
- One individual associated with an institutional member voted early (before the voting period was opened) by e-mail. Although these votes were not counted, they supported all six motions.
Of the 37 eligible votes from the 429 individual and institutional members of the ITD Alliance:
- 15 were from institutional members and 22 were from individual members
- 15 were from people who hold one or more positions with the ITD Alliance eg Leadership Board member, working group coordinator, regional network coordinator
- 3 were from individual members who have been granted fee waivers
- The geographical distribution of votes was as follows:
- Europe and UK: 16 (from 8 countries) (43% of votes; 55% of members are located in Europe and the UK)
- US and Canada: 6 (16% of votes; 11% of members are located in the US and Canada)
- Asia: 5 (from 4 countries) (14% of votes; 8% of members are located in Asia)
- Sub-Saharan Africa and Middle East and North Africa: 5 (from 4 countries) (14% of votes; 6% of members are located in Sub-Saharan Africa and Middle East and North Africa)
- Oceania: 3 (from 1 country) (8% of votes; 15% of members are located in Oceania)
- Latin America: 2 (from 2 countries) (5% of votes; 6% of members are located in Latin America).

There is a video recording of the first meeting only. The second meeting ended early and was not recorded, as the three attendees were all familiar with the proposals and no further discussion was required.
